18 | Nominating Committee Guide • The number of meetings held in the year, as well as the attendance of every NC member at these meetings 23 . • Process for the selection, appointment and reappointment of new directors to the Board, including the search and nomination process 24 . • Key information on each director of the Board, as well as details and information on director(s) seeking shareholders’ approval on his appointment or reappointment to be included in the relevant resolution 25 . • The independent status of NEDs; the reasons for considering that a particular director is independent despite a relationship that, under the Code, would otherwise deem a director not be independent; or the reason that a director is still on the Board for more than nine years from the date of his first appointment as a director 26 . • The induction, orientation and training provided to new and existing directors 27 . • The maximum number of listed company Board representations that directors may hold 28 . • The assessment approach of the Board, Board Committees and each individual director. Other Matters 8.1 New NC members will be briefed by the Board/NC Chairman on the NC Terms of Reference. They will also be given an overview of the company’s risk management and internal control systems. 8.2 NC members must attend in-depth training on corporate governance, Board effectiveness, and talent development and management. This will equip them with the necessary skillsets to discharge their duties effectively. 8.3 At least once a year, the NC must review its Terms of Reference to ensure that they remain consistent with the Board’s objectives and responsibilities.
