Other Matters 8.1 New NC members will be briefed by the Board/NC Chairman on the NC Terms of Reference. They will also be given an overview of the company’s risk management and internal control systems. 8.2 NC members must attend in-depth training on corporate governance, Board effectiveness, and talent development and management. This will equip them with the necessary skillsets to discharge their duties effectively. 8.3 At least once a year, the NC must review its Terms of Reference to ensure that they remain consistent with the Board’s objectives and responsibilities.
